This web site, including all of its features and information (hereafter the “Web Site”) is a service made available by IDI Project s.r.l., (hereafter “IDI”) and all contents, information and services ordered or provided on or throught his Web Site (hereafter “Information”) may be used solely under the following terms and conditions (hereafter “Terms of Use”). The following terms apply to non-registered users as well as to (authorised users of) registered subscribers to this Web Site, but do not supersede the terms of the Subscription Agreement. Insofar as the Subscription Agreement provides more extensive rights, the terms of the Subscription Agreement prevail for the corresponding authorised users.

1. Web Site Limited License.
As a user of this Web Site you are granted a non-exclusive, non-transferable, revocable, limited license to access and use this Web Site and Information in accordance with these Terms of Use. IDI may terminate this license at any time for any reason.

2. Limitations on Use.
The Information on this Web Site is for your personal use only and not for commercial exploitation. You may not copy, modify, reproduce, republish, distribute, display, or transmit for commercial, non-profit or public purposes all or any portion of this Web Site, without IDI’s prior written permission. Any unauthorized use of this Web Site or its Information is prohibited.

The contents of this Web Site, including all images, illustrations, databases, designs, photographs, video and written material are protected by copyright, trademarks, database and other intellectual property rights. You may not reproduce, modify, copy or distribute or use for commercial purposes any of the materials or contents on the Web Site, without IDI’s written consent.

4. Linking to this Website.
You may provide links only to the homepage of this Web Site, provided (a) you do not remove or obscure, by framing or otherwise, any portion of the homepage, including any advertisements, the terms of use, the copyright notice, or other notices on this Site, (b) you give IDI notice of such link by sending an e-mail to info@idiproject.com and (c) you discontinue providing links to this Web Site if requested by IDI. If you wish to provide links to a section within this Web Site, you should forward your request to IDI at info@idiproject.com and IDI will notify you if permission is granted, and if so the terms and conditions of the permission.

5. License of Your Information to IDI.
By uploading Information to or submitting any materials for use on this Web Site, you grant (or warrant that the owner of such rights has expressly granted) IDI a perpetual, worldwide, royalty-free, irrevocable, non-exclusive right and license, with right to sublicense, to use, reproduce, modify, adapt, publish or translate. You agree that you shall have no recourse against IDI for any alleged or actual infringement or misappropriation of any proprietary right in your communications to us.

6. No Solicitation.
You shall not distribute on or through this Web Site any Information or material containing any advertising, promotion, solicitation for goods, services or funds or solicitation for others to become members of any enterprise or organization without the express written permission of IDI.

7. Advertisers.
This Web Site may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on this Web Site is accurate and complies with applicable laws. IDI will not be responsible for the illegality of or any error or inaccuracy in advertisers’ or sponsors’ materials or for the acts or omissions of advertisers and sponsors.

8. Public and non-public sections
This Web Site is divided in public and non-public sections. Non-public sections require the authorised user to enter username and password. Access to public sections of this Web Site is currently free of charge. Access to non-public sections of this Web Site is only allowed for authorised users of registered subscribers, who have accepted the conditions contained in the Subscription Agreement. IDI does not permit a) anyone other than you to use the sections requiring subscription by using your name or password; or b) access through a single name being made available to multiple users on a network or otherwise. You are responsible for preventing such unauthorized use. If you believe there has been unauthorized use, you must notify IDI immediately by emailing info@idiproject.com

9. Subscription
Subscription to this Web Site requires you to fill in the subscription form, by inserting your personal information. You agree to provide IDI with accurate and complete personal information.It is your responsibility to inform IDI of any changes to that information.

IDI does not represent or warrant that this Web Site or the Information will be error-free, free of viruses or other harmful components, or that defects will be corrected or that it will always be accessible. IDI does not warrant or represent that the Information available on or through this Web Site will be correct, accurate, timely, or otherwise reliable. IDI may make improvements and/or changes to its features, functionality or Information at any time.

Third party Information may appear on this Web Site or may be accessible via links from this Web Site. IDI reserves the right to investigate complaints or reported violations of its Terms of Use and to take any action it deems appropriate including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to user profiles, e-mail addresses, usage history, posted materials, IP addresses and traffic information.

17. Remedies for Violations.
IDI reserves the right to seek all remedies available at law for violations of these Terms of Use, including but not limited to the right to block access from a particular Internet address to this Web Site and any other IDI Web sites and their features.

18. Governing Law and Jurisdiction.
The Terms of Use are governed by and construed in accordance with the laws of Italy and any action arising out of or relating to these terms shall be filed only before the Courts of Turin (Italy) and you hereby consent and submit to the personal jurisdiction of such courts for the purpose of litigating any such action.

19. Additional Terms.
IDI reserves the right to investigate complaints or reported violations of its Terms of Use and to take any action it deems appropriate including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to user profiles, e-mail addresses, usage history, posted materials, IP addresses and traffic information.

19.1 Severability.
The provisions of these Terms of Use are intended to be severable. If, for any reason any provision of these Terms of Use shall be held invalid or unenforceable in whole or in part in any jurisdiction, such provision shall, as to such jurisdiction, be ineffective to the extent of such invalidity or unenforceability without in any manner affecting the validity or enforceability thereof in any other jurisdiction or the remaining provisions hereof in any jurisdiction.

19.2 Modifications to Terms of Use.
IDI reserves the right to change these Terms of Use at any time. Updated versions of the Terms of Use will appear on this Web Site and are effective immediately. You are responsible for regularly reviewing the Terms of Use. Continued use of this Web Site after any such changes constitutes your consent to such changes.
